By accessing and using Celioz ("the App" or "the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these Terms of Service, please do not use the Service.

These Terms constitute a legally binding agreement between you and Celioz. By creating an account, downloading, installing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Description of Service

Celioz is a mobile application that provides AI-powered wardrobe organization and personal styling services. The Service allows users to:

• Upload and organize photos of their clothing and outfits
• Use AI-powered features to analyze and catalog their wardrobe
• Receive personalized styling recommendations
• Plan and track outfits using calendar features
• Access premium features through subscription or credit purchases

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

3. User Accounts and Registration

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your information to keep it accurate, current, and complete
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

We reserve the right to suspend or terminate your account at any time, with or without cause or notice, for any reason, including if you breach these Terms.

4. Free and Premium Services

4.1 Free Tier

Celioz offers a free tier with limited features. Free tier users:

• Receive 5 free AI Credits upon signup
• Can earn additional credits by watching rewarded video advertisements
• Have access to core wardrobe organization features
• May see banner advertisements in the app

4.2 Premium Subscription (Celioz Pro)

Premium features are available through a paid subscription:

• Pricing: See our pricing page for current rates
• Billing: Subscriptions are billed through the App Store (iOS) or Google Play (Android)
• Auto-Renewal: Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period
• Cancellation: You may cancel your subscription at any time through your device's app store settings
• Refunds: Refund policies are governed by the App Store and Google Play policies

4.3 Credit Packs

Users may purchase credit packs for one-time use. Credits are non-refundable and do not expire unless otherwise stated.

4.4 Price Changes

We reserve the right to change our pricing at any time. Price changes will not affect your current subscription period but will apply to subsequent renewal periods.

5. User Content and Intellectual Property

5.1 Your Content

You retain ownership of all content you upload to Celioz, including photos of your clothing and outfits. By uploading content, you grant Celioz a worldwide, non-exclusive, royalty-free license to:

• Store, process, and display your content within the Service
• Use AI technologies to analyze and process your content
• Generate derivative works (such as isolated clothing item images) for your use within the Service

5.2 AI-Generated Content

Content generated by our AI (such as isolated clothing item images) is created for your personal use. You may not use AI-generated content for commercial purposes without explicit permission from Celioz.

5.3 Our Intellectual Property

The Service, including its design, features, AI technology, logos, trademarks, and all other intellectual property, is owned by Celioz and protected by intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works of the Service without our express written permission.

5.4 Feedback

Any feedback, comments, or suggestions you provide regarding the Service may be used by Celioz without obligation to you.

6. Acceptable Use

You agree not to:

• Upload content that is illegal, harmful, threatening, abusive, harassing, defamatory, or violates others' rights
• Use the Service for any commercial purpose without permission
• Attempt to reverse engineer, decompile, or extract our AI models or algorithms
• Interfere with or disrupt the Service or servers connected to the Service
• Use automated systems (bots, scrapers) to access the Service
• Share your account credentials with others
• Impersonate any person or entity
• Violate any applicable laws or regulations

We reserve the right to remove any content that violates these Terms and to suspend or terminate accounts of users who engage in prohibited activities.

7. Privacy

Your privacy is important to us. Please review our Privacy Policy, which also governs your use of the Service, to understand our practices regarding the collection, use, and disclosure of your information. By using the Service, you consent to our Privacy Policy.

8. Service Availability and Modifications

8.1 Availability

We strive to maintain Service availability but do not guarantee uninterrupted access. The Service may be unavailable due to maintenance, updates, technical issues, or circumstances beyond our control.

8.2 Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We may also update these Terms of Service, and continued use of the Service after changes constitutes acceptance of the updated Terms.

We may release updates to the Service that add new features or fix bugs. You agree to install updates to continue using the Service.

In no event shall Celioz's total liability exceed the amount you paid to us in the twelve (12) months preceding the claim, or $100, whichever is greater.

You agree to indemnify and hold harmless Celioz, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of any applicable laws or regulations

11. Termination

11.1 By You

You may stop using the Service at any time by deleting the App and cancelling any active subscriptions through your device's app store.

11.2 By Us

We may suspend or terminate your access to the Service immediately, without prior notice, if you violate these Terms or engage in fraudulent, illegal, or harmful activity.

11.3 Effect of Termination

Upon termination, your right to use the Service will cease immediately. We may delete your account and data, though we may retain certain information as required by law or for legitimate business purposes.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Belgium, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in Belgium.

Before filing a claim, you agree to contact us at support@celioz.com to attempt to resolve the dispute informally.

13.2 Class Action Waiver

You agree that any disputes will be resolved individually and not as part of a class action.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by:

• Posting the updated Terms on this page
• Updating the "Last Updated" date
• Sending an email notification or in-app notification (when applicable)

Your continued use of the Service after changes becomes effective constitutes acceptance of the updated Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full effect and enforceable.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Celioz regarding the Service and supersede all prior agreements and understandings.

17. Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
